How Properfy aligns with its LPs.

GP commitment

The GP commits 2% of total commitments across every Properfy fund, invested pari passu with LPs. Meaningful principal capital is at stake in every commitment.

Escrowed carry with clawback

30% of carried interest sits in escrow subject to a full clawback provision if fund-level returns do not meet the preferred return over the fund's life.

Preferred return

An 8% preferred return is paid to LPs before any carried interest is distributed. European whole-fund waterfall governs.

LP Advisory Committee

An LPAC is established at first close on every fund with defined governance rights over conflicts, valuation, and material amendments.

Reporting cadence

Quarterly financial and portfolio reports. Annual audited financial statements. Ad-hoc LP calls on material events. Access to the operating team.

Fee transparency

All fees, expenses, and reimbursements are disclosed in the LPA and reported quarterly. No hidden charges. No off-balance-sheet arrangements.

Onboarding process

A defined process. A clear timeline.

1 · Introduction

Initial call with Investor Relations to review the platform, the target fund, and the LP's investment objectives, allocation mandate, and diligence process.

2 · Data room

Access to the Properfy data room. Review of the fund's Confidential Private Placement Memorandum, LPA, subscription documents, and diligence materials.

3 · Diligence

Operating-team meetings, on-site portfolio review where relevant, reference calls with existing LPs, and Q&A across investment, operations, and compliance.

4 · Commitment

Execution of subscription documents, KYC/AML and accreditation verification, and admission to the fund. Access to the LP Portal is provisioned at admission.
