1. Acceptance and eligibility
These Terms of Use are a legally binding agreement between you and Properfy. By using the services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2. Permitted use
Properfy grants you a limited, revocable, non-exclusive, non-transferable license to access and use the services for lawful purposes consistent with these Terms. You may not scrape, reverse-engineer, disassemble, or otherwise attempt to derive source code from the services; interfere with or circumvent security features; or use the services in any manner that violates applicable law.
3. Restricted areas
The Properfy LP Portal is restricted to admitted limited partners and their authorized representatives. The Properfy resident portal is restricted to current Properfy residents. Unauthorized access is prohibited and may result in civil or criminal liability.
4. Intellectual property
All content on the services, including text, images, logos, and design, is owned by Properfy or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, modify, or create derivative works of any part of the services.
5. User submissions
By submitting information through the services (for example, a contact form or portal message), you grant Properfy a non-exclusive, royalty-free license to use that information in connection with providing and improving the services and communicating with you. You represent that any information you submit is accurate and that you have the right to submit it.
6. No investment advice; no offer
The services do not provide investment, legal, tax, or accounting advice. No content on the services constitutes an offer to sell, or a solicitation of an offer to buy, any security. See the Important Disclosures.
7. Third-party content and links
The services may include content or links provided by third parties. Properfy does not endorse and is not responsible for third-party content, and your interactions with third parties are solely between you and those third parties.
8. Disclaimer of warranties
The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Properfy does not warrant that the services will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Properfy and its affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the services, regardless of the theory of liability.
10. Indemnification
You agree to indemnify and hold harmless Properfy and its affiliates from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the services, or your violation of any law or third-party right.
11. Governing law; venue
These Terms are governed by the laws of the State of Texas without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the services shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
12. Termination
Properfy may suspend or terminate your access to the services at any time, for any reason, with or without notice. Sections intended by their nature to survive termination will survive.
13. Changes to these Terms
We may modify these Terms from time to time. Material changes will be reflected in the "last updated" date. Your continued use of the services after any change constitutes acceptance of the revised Terms.
